Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Prospect website and services (together, the "Services"), operated by Prospect ("Prospect," "we," "us," or "our"). By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

Prospect is currently in prelaunch. Features described on our site may change, and some — including Sponsorships and Boosts — are not yet available. Nothing is charged today.

Who may use Prospect

You must be able to form a binding agreement to use the Services. If you are under 18, you may use the Services only with the involvement of a parent or guardian, and athletes who are minors may participate only with verified parent or guardian approval. You are responsible for ensuring your use complies with the laws that apply to you.

The Services are not directed to children under 13. You may not create an account or use the Services if you are under 13, and we do not knowingly allow them to do so.

Your account

When you create an account, you agree to provide accurate information and keep it up to date. You are responsible for activity that happens under your account and for keeping your sign-in method secure. Tell us promptly if you believe your account has been accessed without your permission.

Applications, waitlists, and nominations

Submitting a Founding Athlete application, joining a waitlist, or nominating an athlete does not create any contract, guarantee of acceptance, or obligation for us to provide services to you or anyone else. We review submissions at our discretion and may decline any of them.

Prospect's role

Prospect connects fans with athletes, but we are a venue and facilitator — not a party to the relationship between a fan and an athlete. Athletes are independent individuals, not employees, agents, or partners of Prospect, and nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship. We do not guarantee that any athlete will be accepted onto the platform, that any fan will support an athlete, or that anyone will receive a particular level of support, income, or results from using the Services.

Athlete profiles and your content

If you create an athlete profile or otherwise submit content, you keep ownership of that content. You grant Prospect a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, back up, adapt (for example, to reformat or resize it for different devices and placements), publish, display, and otherwise use that content to operate, secure, improve, and promote the Services. We may sublicense these rights to the service providers who help us run Prospect, solely so they can provide their services to us.

This license ends when you remove your content or close your account, except that we may keep and use residual copies for a reasonable period for backups, security, legal, and record-keeping purposes, and any rights you granted to others while your content was available may continue. You are responsible for the content you submit, confirm that you have the rights to share it, and confirm that it is accurate. We review profiles before they are published and may edit, decline, or remove content.

Sponsorships and Boosts (coming soon)

Prospect is designed to let fans support athletes through monthly Sponsorships and one-time Boosts. These features are not yet available, and no payments are processed while Prospect is in prelaunch. When they launch, additional terms — including any fees, payouts, and cancellation rules — will apply and will be presented before you are asked to pay anything.

Access to Follower and Sponsor content

Some athlete content is available only to Followers or Sponsors. When you are given access to that content, Prospect grants you a personal, limited, non-exclusive, non-transferable, revocable license to view it for your own personal, non-commercial use. You may not copy, download (except where a feature expressly allows it), record, screenshot, republish, redistribute, sell, or otherwise share this content, and you may not use any automated means to scrape or collect it. Athletes keep ownership of their content, and your access ends if your Follow or Sponsorship ends or your account is closed.

Acceptable use

When using the Services, you agree not to:

  • break the law or infringe anyone's rights;
  • post content that is false, misleading, harmful, harassing, hateful, or sexually explicit;
  • impersonate others or misrepresent your identity, statistics, or affiliation;
  • attempt to disrupt, probe, or gain unauthorized access to the Services or their systems; or
  • use the Services to send spam or to collect information about others without permission.

Moderation and enforcement

We may review, moderate, remove, or restrict content, and may suspend or terminate accounts that violate these Terms or that we reasonably believe create risk or harm. We aim to be fair, but we may act without notice when necessary.

Ending your use of Prospect

You may stop using the Services at any time and may ask us to close your account by contacting us. When your account is closed or the Services are terminated, your right to use the Services ends, but any provisions that by their nature should survive — including content licenses you have granted, disclaimers, limitations of liability, and the sections on intellectual property and governing law — will continue to apply.

Intellectual property

The Prospect name, logo, and the design, text, and other materials we provide are owned by Prospect or our licensors and are protected by intellectual-property laws. Except for content you own, these Terms do not grant you any right to use our materials without our permission.

Copyright and DMCA takedowns

We respect intellectual-property rights and expect everyone who uses Prospect to do the same. If you believe content on Prospect infringes a copyright you own or control, you can ask us to remove it, and we will respond under the notice-and-takedown process of the U.S. Digital Millennium Copyright Act (the "DMCA").

How to send a notice. Send a written notice to our copyright agent using the contact details at the end of this page, and include: (1) your physical or electronic signature; (2) identification of the copyrighted work you believe is infringed; (3) identification of the material you believe is infringing and enough information for us to locate it, such as the profile or post address; (4) your name, address, and email so we can reach you; (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

What we do with a notice. When we receive a valid notice, we will remove or disable access to the material expeditiously and, where we reasonably can, let the person who posted it know.

Counter-notices. If your content was removed and you believe that was a mistake or a misidentification, you may send a counter-notice to the same agent, including: your signature; identification of the removed material and where it appeared; a statement, made under penalty of perjury, that you have a good-faith belief it was removed by mistake or misidentification; your name, address, and email; and your consent to the jurisdiction of the appropriate court. If the person who sent the original notice does not pursue a court order within the time the law allows (generally 10 to 14 business days), we may restore the material.

Repeat infringers. In appropriate circumstances, we will disable or terminate the accounts of users we determine to be repeat infringers.

Third-party services

The Services rely on and may link to third-party services (such as sign-in, hosting, email, and, in the future, payments and video). Your use of those services may be subject to their own terms, and we are not responsible for them.

Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not guarantee that the Services will be uninterrupted, error-free, or secure, or that any application will be accepted.

Limitation of liability

To the fullest extent permitted by law, Prospect will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the Services.

Changes to the Services and these Terms

We may change, suspend, or discontinue any part of the Services at any time, particularly while in prelaunch. We may also update these Terms; when we make material changes, we will update the date at the top of this page and, where appropriate, provide additional notice. Continuing to use the Services after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the United States and the state in which Prospect operates, without regard to conflict-of-laws rules. Disputes relating to these Terms or the Services will be handled in the courts located there, unless applicable law requires otherwise.

General

These Terms are the entire agreement between you and Prospect regarding the Services and replace any prior agreements on that subject.

  • Assignment — You may not transfer your rights or obligations under these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
  • Severability — If any part of these Terms is found unenforceable, the rest stays in effect.
  • No waiver — Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Force majeure — We are not responsible for delays or failures caused by events beyond our reasonable control.
  • Notices — We may give you notices by email or by posting them within the Services; you can reach us using the contact details below.
  • Headings — Section headings are for convenience only and do not affect how these Terms are interpreted.
